Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and Navayug Labs LLC, a California limited liability company doing business as Residency Space (“Residency Space,” “we,” “us,” or “our”), governing your access to and use of the website located at residencyspace.com and all related applications, features, tools, and services (collectively, the “Services”).

BY CREATING AN ACCOUNT, ACCESSING, OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY, WHICH IS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICES.

PLEASE READ SECTION 15 (DISPUTE RESOLUTION & BINDING ARBITRATION) CAREFULLY. IT CONTAINS A MANDATORY ARBITRATION PROVISION AND A CLASS ACTION WAIVER THAT AFFECTS YOUR LEGAL RIGHTS.

1. Eligibility

You must be at least eighteen (18) years of age to use the Services. By using the Services, you represent and warrant that:

  • You are at least 18 years old
  • You have the legal capacity to enter into these Terms
  • You are not prohibited from using the Services under any applicable law
  • All information you provide during registration and while using the Services is truthful, accurate, current, and complete
  • You will maintain and promptly update your information to keep it accurate and current

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” refers to both you individually and the organization.

2. Account Registration & Security

To access certain features of the Services, you must create an account by providing your name, email address, and a password. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account, whether or not you authorized them
  • Notifying us immediately at support@residencyspace.com if you become aware of any unauthorized use of your account

You may not share your account credentials with any third party, use another person’s account, or create more than one account per person. We reserve the right to suspend or terminate any account that we reasonably believe has been compromised or is being used in violation of these Terms.

We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

3. Description of Services

Residency Space is an online platform designed to assist medical students and graduates in navigating the residency application process. The Services include, but are not limited to:

  • Profile Building: Tools to input and organize your medical education credentials, examination scores, research experience, and other application-relevant information
  • Program Discovery: A searchable catalog of residency programs compiled from publicly available records, including the ACGME Public Accreditation Data System and aggregate statistics published by the National Resident Matching Program (NRMP) in its Charting Outcomes and Program Results reports. Such public-record information is used under fair use with attribution to the original source. Residency Space does not copy, mirror, scrape, or otherwise reproduce any proprietary database in whole or in substantial part, and does not republish any subscription-gated program dataset
  • Proprietary Fit Analysis: Every numerical fit score surfaced in the Services is produced by Residency Space’s proprietary, deterministic scoring rubric -- a published, auditable formula that combines the applicant’s own inputs with public program benchmarks. Third-party large language model providers are used solely as a narrative layer to explain the computed score in plain English; they do not produce, override, or adjust the numerical score or tier. Over time the rubric may be recalibrated and improved using a combination of voluntary, user-reported match outcomes and de-identified, aggregated usage data, in each case as further described in our Privacy Policy. The scoring rubric, weights, and formulas are the proprietary intellectual property of Residency Space. Fit scores are subject to the limitations described in Sections 4 and 5
  • Application Tracking: Tools to track application statuses, interview dates, rankings, and personal notes
  • ERAS Preparation: Organizational tools to compile and manage information typically required for the ERAS application

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

4. Medical & Professional Disclaimer

IMPORTANT -- PLEASE READ CAREFULLY

RESIDENCY SPACE IS NOT A MEDICAL INSTITUTION, HEALTHCARE PROVIDER, MEDICAL ADVISOR, CAREER COUNSELOR, OR PROFESSIONAL LICENSING BODY.

The Services, including all AI-generated fit analyses, program recommendations, and application guidance, are provided for informational and organizational purposes only. They do not constitute and shall not be construed as:

  • Medical advice, diagnosis, or treatment
  • Professional career counseling or advising
  • A guarantee or prediction of match outcomes
  • An endorsement of any particular residency program
  • A substitute for professional judgment from qualified medical advisors, deans, or mentors

YOU SHOULD ALWAYS CONSULT WITH QUALIFIED MEDICAL EDUCATORS, ACADEMIC ADVISORS, AND MENTORS BEFORE MAKING DECISIONS ABOUT YOUR RESIDENCY APPLICATIONS.

Software Tool, Not a Career-Counseling Service

Residency Space is a self-service software tool. It is not a licensed career-counseling, advisory, educational-consulting, or coaching service, and your use of the Services does not create any counselor-client, advisor-advisee, fiduciary, or professional relationship between you and Residency Space, its owner Navayug Labs LLC, or any of its personnel. Where state law regulates career counselors, educational consultants, or similar advisory professions, Residency Space does not hold itself out as a member of any such profession and the Services should not be relied upon as a substitute for one. Any decisions you make about your residency applications remain solely your own.

Residency Space is not an agent, intermediary, broker, or representative of any residency program, applicant, medical school, hospital, or other institution. We do not negotiate on your behalf, submit applications on your behalf, or communicate with programs on your behalf, and nothing in the Services should be understood as us acting as your representative or as the representative of any program.

RESIDENCY SPACE DOES NOT GUARANTEE THAT ANY APPLICANT WILL RECEIVE AN INTERVIEW AT, BE RANKED BY, OR MATCH INTO ANY PROGRAM. FIT SCORES, TIERS, AND OTHER OUTPUTS REFLECT A PLANNING AID BASED ON THE INFORMATION YOU PROVIDE AND PUBLIC BENCHMARKS, NOT AN OUTCOME PROMISE.

No Affiliation

Residency Space is not endorsed by, affiliated with, or sponsored by the National Resident Matching Program (NRMP), the Accreditation Council for Graduate Medical Education (ACGME), the Association of American Medical Colleges (AAMC), the Electronic Residency Application Service (ERAS), or any medical school, hospital, or residency program. All trademarks, service marks, and trade names referenced in the Services are the property of their respective owners. References to public-record data sources (such as ACGME accreditation data and NRMP Charting Outcomes) are provided for attribution and informational purposes only and do not imply any affiliation with, endorsement by, or sponsorship from those organizations.

Program Data Accuracy

Residency program data displayed in the Services is sourced from publicly available directories and may not reflect the most current information. Program requirements, deadlines, and characteristics may change at any time. We make commercially reasonable efforts to keep program data current but do not guarantee its accuracy, completeness, or timeliness. You are responsible for verifying all program information directly with the relevant institution.

5. AI-Powered Services & Limitations

How AI Is Used

Numerical fit scores, sub-scores, and tier assignments surfaced in the Services are produced by Residency Space’s proprietary, deterministic scoring rubric -- not by artificial intelligence. The rubric takes the profile information you provide and public program benchmarks as inputs, applies published weights and formulas, and returns an auditable result. The Services additionally use third-party large language model providers as a narrative layer to translate the rubric’s output into plain-English summaries, strengths, and concerns, and to power conversational features. The AI narrative layer does not produce, override, or adjust the numerical score or tier. References in these Terms to “AI-generated outputs” refer to this narrative layer and other generative features, not to the rubric-produced scores themselves.

AI Output Disclaimer

YOU ACKNOWLEDGE AND AGREE THAT AI-GENERATED OUTPUTS:

  • Are not guaranteed to be accurate, complete, or current. AI models may produce errors, hallucinations, or outdated information
  • Should not be relied upon as the sole basis for application decisions. Always cross-reference AI outputs with information from your medical school, advisors, and official program resources
  • May vary in quality. The same or similar inputs may produce different outputs at different times
  • Do not reflect the views or opinions of Residency Space. AI-generated content is produced algorithmically and does not represent our professional recommendation
  • Are provided “as is” without warranty. We make no representations or warranties regarding the fitness, suitability, or accuracy of any AI-generated output for your particular circumstances

Data Transmission for AI Processing

To generate AI-powered analyses, your profile information is transmitted to our third-party AI provider for processing. By using AI-powered features, you acknowledge and consent to this data transmission. The current AI provider is identified in our Privacy Policy, which also describes how your data is handled in transit and at rest.

Usage Limits

AI-powered features are subject to usage limits based on your subscription plan. These limits are enforced on a per-user, per-period basis (e.g., requests per minute and per month). We reserve the right to modify these limits at any time. Unused allowances do not roll over between billing periods.

Assumption of Risk

YOU ASSUME ALL RISKS ASSOCIATED WITH YOUR USE OF BOTH THE PROPRIETARY RUBRIC-PRODUCED FIT SCORES AND THE AI-GENERATED NARRATIVES, RECOMMENDATIONS, AND OTHER OUTPUTS. RESIDENCY SPACE SHALL NOT BE LIABLE FOR ANY DECISIONS YOU MAKE, OR ACTIONS YOU TAKE OR FAIL TO TAKE, BASED ON FIT SCORES, SUB-SCORES, TIERS, NARRATIVES, OR ANY OTHER OUTPUT OF THE SERVICES.

6. Subscriptions, Fees & Billing

Free & Paid Plans

The Services may offer both free and paid subscription plans. Free plans provide limited access to features. Paid plans (“Premium”) provide enhanced access, including AI-powered analyses, subject to the terms of the applicable plan.

Billing & Auto-Renewal

BY SUBSCRIBING TO A PAID PLAN, YOU AUTHORIZE US TO CHARGE YOUR DESIGNATED PAYMENT METHOD ON A RECURRING BASIS (MONTHLY OR ANNUALLY, AS SELECTED) UNTIL YOU CANCEL. YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING CYCLE UNLESS YOU CANCEL BEFORE THE RENEWAL DATE.

Billing begins on the date you subscribe, regardless of whether you have fully configured your account or used all available features.

Payment Processing

All payments are processed by Stripe, Inc. By providing payment information, you agree to Stripe’s Terms of Service and Privacy Policy. You must provide a valid payment method and keep it current.

Price Changes

We reserve the right to change our subscription fees. Any fee changes will take effect at the start of your next billing cycle following at least thirty (30) days’ prior written notice. Your continued use of the Services after the price change takes effect constitutes your agreement to pay the updated fee.

Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@residencyspace.com. Upon cancellation:

  • You will retain access to paid features through the end of your current billing cycle
  • Your account will revert to the free plan at the end of the paid period
  • Your data will be retained in accordance with our Privacy Policy

Refunds

ALL FEES ARE NON-REFUNDABLE EXCEPT AS REQUIRED BY APPLICABLE LAW. No refunds or credits will be issued for partial billing periods, unused features, or periods of non-use. If applicable law in your jurisdiction requires a refund right, that right will apply to the extent required by such law.

Taxes

All fees are exclusive of taxes. You are responsible for all applicable taxes, levies, and duties (excluding taxes on our net income) imposed by taxing authorities in connection with your use of the Services.

7. User Content & Data

Ownership

You retain all ownership rights in and to the content and data you submit through the Services (“User Content”), including your profile information, application notes, personal statements, and ERAS preparation materials.

License Grant

By submitting User Content to the Services, you grant Residency Space a limited, non-exclusive, worldwide, royalty-free license to use, process, store, and display your User Content solely for the purposes of:

  • Providing, operating, and improving the Services
  • Generating AI-powered analyses and recommendations at your request
  • Maintaining backups and ensuring data integrity
  • Complying with legal obligations

This license terminates when you delete your User Content or your account, except to the extent we are required to retain data under applicable law or as described in our Privacy Policy.

No AI Training

We do not use your User Content to train artificial intelligence or machine learning models. Your data is used only to provide the Services to you.

Your Responsibilities

You represent and warrant that:

  • You have all necessary rights to submit your User Content to the Services
  • Your User Content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party
  • Your User Content is accurate and truthful to the best of your knowledge
  • Your User Content does not violate any applicable law or regulation

8. Acceptable Use Policy

You agree not to use the Services to:

  • Violate any applicable law, regulation, or these Terms
  • Scrape, crawl, spider, or use automated means to access the Services or extract data without our prior written consent
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Services
  • Interfere with, disrupt, or impose an unreasonable load on the Services or their underlying infrastructure
  • Attempt to gain unauthorized access to the Services, other users’ accounts, or connected systems
  • Transmit any viruses, malware, worms, or other malicious code
  • Use the Services to harass, abuse, threaten, or intimidate any person
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Resell, sublicense, lease, or otherwise redistribute access to the Services or any AI-generated output for commercial purposes
  • Use the Services or AI-generated outputs to develop a competing product or service
  • Submit false, misleading, or fraudulent information to manipulate AI-generated analyses
  • Circumvent any usage limits, rate limits, or technical restrictions imposed on the Services
  • Use the Services in any manner that could damage, disable, overburden, or impair them

We reserve the right to investigate and take appropriate action against any User who violates this section, including removing User Content, suspending or terminating accounts, and reporting violations to law enforcement.

9. Intellectual Property

Our Intellectual Property

The Services, including all content, features, functionality, software, code, designs, text, graphics, logos, icons, images, and the selection and arrangement thereof (collectively, “Materials”), are owned by Residency Space or our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

“Residency Space,” our logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Residency Space or its affiliates. You may not use such marks without our prior written permission.

Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial purposes (i.e., for your own residency application process). This license does not include the right to:

  • Modify or make derivative works of the Services or any Materials
  • Use any data mining, robots, or similar data-gathering methods
  • Download (other than page caching) any portion of the Services except as expressly permitted
  • Use the Services or Materials for any commercial purpose or for the benefit of any third party

DMCA & Copyright Infringement

We respect the intellectual property rights of others. If you believe that any content on the Services infringes your copyright, please send a notice to our designated copyright agent at support@residencyspace.com containing:

  • A physical or electronic signature of the copyright owner or authorized agent
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the material claimed to be infringing and its location on the Services
  • Your contact information (address, telephone number, and email)
  • A statement that you have a good-faith belief the use is not authorized
  • A statement, under penalty of perjury, that the information in the notice is accurate and you are authorized to act on behalf of the copyright owner

In accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512), we will terminate the accounts of repeat infringers.

10. Third-Party Services

The Services integrate with or rely on the following third-party services:

  • Google Gemini AI -- for AI-powered fit analysis and recommendations
  • Stripe -- for payment processing
  • Supabase -- for database hosting and authentication
  • Vercel -- for website hosting

Your use of these third-party services may be subject to their respective terms of service and privacy policies. We are not responsible for the practices or content of any third-party service. We do not warrant, endorse, or assume responsibility for any third-party service, and your interactions with third-party services are solely between you and the relevant third party.

RESIDENCY SPACE SHALL NOT BE LIABLE FOR ANY HARM, DAMAGE, LOSS, OR CLAIM ARISING FROM OR RELATED TO YOUR USE OF ANY THIRD-PARTY SERVICE.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RESIDENCY SPACE AND ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, AND LICENSORS (COLLECTIVELY, THE “RESIDENCY SPACE PARTIES”) EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, TIMELINESS, COMPLETENESS, OR SUITABILITY OF THE SERVICES, AI-GENERATED OUTPUTS, FIT SCORES, OR PROGRAM DATA
  • WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • WARRANTIES THAT THE RESULTS OBTAINED FROM USING THE SERVICES WILL BE ACCURATE, RELIABLE, OR MEET YOUR REQUIREMENTS

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM RESIDENCY SPACE OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions apply to the maximum extent permitted by applicable law.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE RESIDENCY SPACE PARTIES BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES
  • DAMAGES ARISING FROM YOUR RELIANCE ON AI-GENERATED OUTPUTS, FIT SCORES, PROGRAM RECOMMENDATIONS, OR ANY OTHER CONTENT PROVIDED THROUGH THE SERVICES
  • DAMAGES ARISING FROM YOUR INABILITY TO USE THE SERVICES OR ANY INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SERVICES
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS
  • DAMAGES ARISING FROM MATCH OUTCOMES, APPLICATION DECISIONS, OR ANY CAREER-RELATED CONSEQUENCES

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF THE RESIDENCY SPACE PARTIES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY (WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF THE RESIDENCY SPACE PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THESE LIMITATIONS ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND RESIDENCY SPACE.

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages. In such jurisdictions, the above limitations apply to the maximum extent permitted by applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless the Residency Space Parties from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising from or related to:

  • Your use of or access to the Services
  • Your violation of these Terms
  • Your violation of any applicable law or the rights of any third party
  • Any User Content you submit, post, or transmit through the Services
  • Your negligent or willful misconduct

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. This indemnification obligation will survive the termination of these Terms and your use of the Services.

14. Account Termination & Suspension

Termination by You

You may terminate your account at any time by contacting us at support@residencyspace.com. Upon termination, your right to use the Services will immediately cease. Data deletion will proceed in accordance with our Privacy Policy.

Termination or Suspension by Us

We may suspend or terminate your account and access to the Services, without prior notice, if:

  • You breach any provision of these Terms or the Acceptable Use Policy
  • Your use of the Services creates risk of harm or legal liability to us, other users, or third parties
  • Your account has been inactive for twelve (12) or more consecutive months (for free accounts)
  • We are required to do so by law or a government order
  • We discontinue the Services, in whole or in part

Effect of Termination

Upon termination:

  • All licenses granted to you under these Terms will immediately cease
  • You must discontinue all use of the Services
  • We may delete your User Content after a reasonable retention period as described in our Privacy Policy
  • Any accrued rights, obligations, or liabilities of either party remain unaffected

RESIDENCY SPACE SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY SUSPENSION OR TERMINATION OF YOUR ACCOUNT OR ACCESS TO THE SERVICES.

Survival

The following sections survive termination of these Terms: Medical & Professional Disclaimer (Section 4), AI-Powered Services & Limitations (Section 5), User Content & Data (Section 7), Intellectual Property (Section 9), Disclaimer of Warranties (Section 11), Limitation of Liability (Section 12), Indemnification (Section 13), Dispute Resolution & Binding Arbitration (Section 15), Governing Law (Section 16), and Miscellaneous (Section 18).

15. Dispute Resolution & Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY -- IT AFFECTS YOUR LEGAL RIGHTS

This section contains a mandatory arbitration provision and a class action waiver. By agreeing to these Terms, you agree to resolve disputes through binding individual arbitration and waive your right to a jury trial and to participate in class actions.

Informal Resolution First

Before initiating any formal dispute proceeding, you agree to first contact us at support@residencyspace.com with a written description of your dispute, including your name, account email, and a detailed description of the claim and the specific relief sought. We will attempt to resolve the dispute informally within sixty (60) days. The applicable statute of limitations and any filing fee deadlines are tolled during this informal resolution period.

Binding Arbitration

If the dispute cannot be resolved informally, you and Residency Space agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the relationship between you and Residency Space (collectively, “Disputes”) shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, as modified by these Terms.

The arbitration shall be conducted by a single arbitrator selected in accordance with the AAA’s Consumer Arbitration Rules. The arbitration shall be conducted in English. Unless the parties agree otherwise or the claim exceeds $25,000, the arbitration shall be conducted on the basis of written submissions (documents only) without an in-person hearing. For claims exceeding $25,000, a hearing may be conducted by videoconference.

The arbitrator shall have exclusive authority to resolve all Disputes, including the scope, enforceability, and arbitrability of this arbitration provision. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Exceptions to Arbitration

Notwithstanding the foregoing, either party may:

  • Bring an individual action in small claims court if the claim qualifies and remains in small claims court
  • Seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights

Class Action & Jury Trial Waiver

YOU AND RESIDENCY SPACE EACH WAIVE THE RIGHT TO A JURY TRIAL.

YOU AND RESIDENCY SPACE EACH AGREE THAT DISPUTES MAY ONLY BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, OR PRIVATE ATTORNEY GENERAL ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE PROCEEDINGS OR CLAIMS OR OTHERWISE PRESIDE OVER ANY FORM OF A CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING.

If this class action waiver is found to be unenforceable with respect to a particular claim, then that claim (and only that claim) shall be severed from arbitration and may be brought in the state or federal courts located in the County of Sacramento, California. All other claims remain subject to arbitration.

Arbitration Fees

The payment of arbitration fees shall be governed by the AAA’s Consumer Arbitration Rules. If the arbitrator finds that either the substance of your claim or the relief sought is frivolous or brought for an improper purpose, the arbitrator may award the other party its reasonable attorneys’ fees and costs.

30-Day Opt-Out Right

You have the right to opt out of this arbitration provision within thirty (30) days of first accepting these Terms by sending a written notice to support@residencyspace.com with the subject line “Arbitration Opt-Out.” Your notice must include your name, email address associated with your account, and a clear statement that you wish to opt out of the arbitration provision. If you opt out, all other provisions of these Terms will continue to apply. Opting out will not affect any prior arbitration agreements.

16. Governing Law

These Terms and any Disputes shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict-of-law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

For any Disputes not subject to arbitration, you and Residency Space consent to the exclusive jurisdiction of the state and federal courts located in the County of Sacramento, State of California. You waive any objection to venue in such courts.

17. Modifications to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the “Last Updated” date at the top of these Terms
  • Provide at least thirty (30) days’ prior notice via email or prominent notice on the Services
  • For material changes to the arbitration provision, provide notice and allow you to reject the changes within thirty (30) days

Your continued use of the Services after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue your use of the Services.

18. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Residency Space regarding the Services and supersede all prior agreements, understandings, and communications, whether written or oral.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Residency Space.

Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. Any attempted assignment in violation of this section is void. We may assign these Terms, in whole or in part, to any affiliate, subsidiary, or successor without your consent.

Force Majeure

Residency Space shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, denial-of- service attacks, cyberattacks, fire, flood, earthquake, strikes, or labor disputes.

No Third-Party Beneficiaries

These Terms are for the sole benefit of you and Residency Space and do not confer any rights on any third party, except as expressly stated herein.

Headings

Section headings are for convenience only and shall not affect the interpretation of these Terms.

Electronic Communications

By using the Services, you consent to receiving electronic communications from us. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

California Residents

Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice: The Services are provided by Navayug Labs LLC.
